Pitch N Hire Affiliate Program β€” Terms and Conditions

These Affiliate Program Terms and Conditions ("Affiliate Terms," "Agreement") govern participation in the Pitch N Hire Affiliate Program (the "Program"), operated by Pitch And Hire Recruiters Private Limited ("Pitch N Hire," "Company," "we," "us," "our"), the operator of pitchnhire.com and the Pitch N Hire Applicant Tracking System ("ATS") and Pitch N Hire HRMS (together, the "Products").

By applying to the Program, accepting an Approval Notice, or generating a single referral through your affiliate link, you ("Affiliate," "Partner," "you," "your") agree to be bound by this Agreement, our general Terms and Conditions and our Privacy Policy. If you apply on behalf of a company, agency, or other organization, you confirm you have authority to bind that entity, and "you" refers to that entity throughout.

If you do not agree, do not apply to or participate in the Program.

1. Definitions

2. Eligibility and Application

2.1 The Program is open to individuals and organizations with a genuine audience of employers, recruiters, or HR professionals β€” including recruitment consultants, HR and talent communities, newsletter and content creators, fractional HR leaders, comparison and review sites, and existing Pitch N Hire customers.

2.2 Every application is reviewed individually. We are evaluating the genuineness of your audience and the channel you intend to use, not a traffic threshold. We will respond to every application by email, whether approved or not.

2.3 We may decline any application, or decline to renew Program access, at our sole discretion, without being obligated to give a reason.

2.4 You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract to apply.

2.5 Joining the Program is free. There is no fee to apply, no minimum traffic requirement, and no charge for the Affiliate Link or creative assets.

3. Nature of the Relationship

3.1 Approval into the Program does not create an employment, agency, joint venture, or partnership relationship. You act as an independent contractor. You have no authority to make representations, warranties, or commitments on behalf of Pitch N Hire, and must not represent yourself as an employee, agent, or official spokesperson of the Company.

3.2 The Program is non-exclusive. You are free to promote other products or services, including competing products, alongside Pitch N Hire.

3.3 Approval, and continued participation, is granted at Pitch N Hire's discretion and does not guarantee any minimum volume of referrals, Commission, or duration of participation.

4. Your Affiliate Link and Attribution

4.1 Upon approval, you will receive a unique Affiliate Link and any associated creative assets. Referrals are attributed to you automatically through our tracking platform when a Referred User clicks your link and completes a qualifying action within the Attribution Window.

4.2 Attribution model. Unless your Approval Notice states otherwise, attribution follows a last-click model: if a Referred User clicks links from more than one affiliate before converting, the Commission is credited to whichever affiliate's link was clicked most recently and validly, within the Attribution Window.

4.3 Cookie and tracking limitations. Attribution depends on cookies, device identifiers, or equivalent tracking signals. It can fail to register β€” or register incorrectly β€” if the Referred User clears cookies, switches devices or browsers between clicking and converting, uses ad-blocking or privacy tools that block tracking, or waits until outside the Attribution Window to convert. Pitch N Hire is not liable for referrals that go untracked due to these limitations, but see Section 5.10 for how to flag a suspected tracking gap.

4.4 You may not manipulate, obscure, disguise, forge, or artificially inflate the number of clicks or conversions attributed to your Affiliate Link (see Section 7).

5. Commissions and Payment Terms

This section is written to be read carefully β€” most affiliate disputes come from a mismatch between what a partner assumed and what was actually agreed. Where this Agreement says a number is set in your Approval Notice, that written confirmation controls over any general figure discussed informally.

5.1 Commission Rate

Your specific Commission Rate β€” and whether it applies as a flat amount, a percentage of first payment, or a percentage of recurring payments β€” is confirmed in writing in your Approval Notice and may vary by product (ATS versus HRMS), plan tier, or referral source. In the absence of a rate specified in your Approval Notice, the default rate is 15% of the Referred User's net payment (excluding taxes, and any discounts, refunds, or credits applied).

5.2 What Triggers a Commission

A Commission is earned only when a Referred User:

Free-tier sign-ups, trials, and demo bookings that do not convert to a paid plan do not, by themselves, earn Commission. A single Referred User who purchases both the ATS and the HRMS generates a separate Qualifying Referral, and separate Commission, for each product, subject to Section 5.1.

5.3 Recurring Commission

Unless your Approval Notice states a one-time-only Commission, Commission applies to the Referred User's subscription payments β€” including renewals β€” for 6 months from the date of first payment (the "Commission Period"), after which no further Commission accrues on that account regardless of continued payment, unless renewed by mutual written agreement.

5.4 Commission Maturity (Holding Period)

Commission on a Qualifying Referral is provisional until it matures. It matures on the later of (a) the end of the Qualification Period in Section 5.2, or (b) the expiry of our standard refund window for that plan. Only matured Commission is included in a payable balance β€” this protects both sides from paying out, then clawing back, Commission on a customer who cancels in their first days.

5.5 Payment Schedule

Matured Commission is calculated on a monthly basis, for the prior calendar month, and becomes payable within 30 days after month-end, provided the Minimum Payout Threshold in Section 5.6 has been reached.

5.6 Minimum Payout Threshold

Commission is paid once your accrued, matured balance reaches $50. Balances below this threshold roll over and accumulate until the threshold is met. There is no expiry on rolled-over balances while your Affiliate account remains active and in good standing.

5.7 Payment Method

You select your payment method β€” PayPal or bank/wire transfer β€” on the application form, and confirm your payment details with the partnerships team after approval. You are responsible for:

5.8 Currency and Transfer Costs

Commission is calculated in the currency in which the Referred User was billed, unless stated otherwise in your Approval Notice, and converted to your payout currency at the prevailing rate at the time of payment. Any currency conversion spread, wire fee, or intermediary bank fee is deducted from the payment; PayPal's own transaction fees are borne by you as the recipient, consistent with PayPal's standard terms.

5.9 Taxes

You are solely responsible for determining and paying any income tax, GST, or other tax obligation arising from the Commission you receive. Where required by applicable law, Pitch N Hire may deduct tax at source (TDS) or withholding tax before payment, and will provide you the corresponding tax certificate or statement. We may require a valid PAN (Indian affiliates), GST registration details (if applicable), or a completed W-8BEN or W-9 (or local equivalent) before releasing payment, and may withhold payment until this is provided. Pitch N Hire does not provide tax advice; consult your own advisor.

5.10 Disputing a Commission Statement

If you believe a Commission is missing, miscalculated, or wrongly excluded, notify info@pitchnhire.com or use our contact form within 30 days of the relevant monthly statement, with the referral link, approximate date, and the Referred User's details you have (where lawful to share). Claims raised after 30 days may be declined, since our ability to investigate against tracking logs and the Referred User's billing history diminishes over time. We will confirm the outcome of a dispute in writing.

5.11 What Commission Does Not Cover

No Commission accrues on: taxes, shipping, one-time setup or onboarding fees, amounts refunded or waived, free or discounted plans, internal or test accounts, or renewals occurring after your Commission Period or after termination of your Affiliate status (except matured Commission already earned pre-termination, per Section 12.4).

6. Referrals That Do Not Qualify

The following do not generate Commission, consistent with standard practice across affiliate programs and designed to keep the Program fair to partners bringing genuinely new business:

7. Prohibited Promotional Practices

You agree not to:

7.1 Bid on Pitch N Hire's brand terms (for example, "Pitch N Hire," close misspellings, or confusingly similar variants) in paid search advertising. This competes with our own ads for people already searching for us, rather than bringing us a new audience.

7.2 Engage in cookie-stuffing, forced clicks, pop-unders, malware, browser-hijacking, or any technique that attributes a referral without the Referred User's knowing action.

7.3 Send unsolicited bulk email (spam), or otherwise violate anti-spam laws (for example, CAN-SPAM, India's IT Act, or GDPR and PECR where applicable) when promoting your Affiliate Link.

7.4 Make false, misleading, or unsubstantiated claims about Pitch N Hire's Products, pricing, or features β€” including implying a relationship, endorsement, or authority beyond that of an independent affiliate.

7.5 Use incentivized traffic (for example, "sign up through my link and I'll pay you $5") without our prior written approval.

7.6 Offer unauthorized discounts, coupons, or cashback on Pitch N Hire's behalf that we have not approved in writing.

7.7 Use Pitch N Hire's name, logo, or trademarks in a way not covered by the limited license in Section 9, or register a domain name, social handle, or app name confusingly similar to "Pitch N Hire."

7.8 Fail to disclose the affiliate relationship where required by applicable advertising or consumer-protection law (for example, a clear "affiliate link" or "I earn a commission" disclosure per FTC guidance or equivalent local rules).

A violation of this Section 7 entitles Pitch N Hire to withhold or reverse Commission attributable to the violating activity, suspend or terminate your Affiliate status under Section 12, and, in cases of fraud, pursue other remedies available at law.

8. Commission Reversal and Clawback

Commission that has already been marked matured or paid may still be reversed or deducted from a future payment if, after the fact, we determine that:

Where a reversal creates a negative balance, we will deduct it from your next payable Commission. If no further Commission is expected (for example, you have left the Program), we may invoice you for the reversed amount where the underlying cause was fraud or a Section 7 violation on your part; ordinary refunds or cancellations by the customer are not invoiced back to you beyond deduction from future earnings.

9. Trademarks, Creative Assets, and Intellectual Property

9.1 Subject to your compliance with this Agreement, Pitch N Hire grants you a limited, non-exclusive, non-transferable, revocable license to use the logos, product screenshots, and marketing copy we provide ("Creative Assets") solely to promote the Products through your Affiliate Link.

9.2 You may not modify our Creative Assets in a way that is misleading, alter our logo, or create derivative marketing materials using our trademarks without prior written approval.

9.3 All ownership of the Products, our trademarks, and the Creative Assets remains with Pitch N Hire. Nothing in this Agreement transfers any ownership to you.

9.4 This license ends automatically when your Affiliate status ends (Section 12); you must stop using the Affiliate Link and Creative Assets and remove them from any properties you control within 14 days of termination, except where they remain within an archived post you do not have practical ability to edit (for example, an old newsletter issue) β€” in that case, the Affiliate Link itself will simply stop tracking or paying out.

10. Reporting, Communication, and Support

10.1 You will have a named contact on the partnerships team for creative requests, questions, and anything that looks incorrect in your referral reporting.

10.2 You can access your referral and Commission reporting through the affiliate tracking platform provided at approval. It is your responsibility to review your dashboard periodically; see Section 5.10 for the window to raise a discrepancy.

11. Confidentiality

You agree to keep confidential any non-public information shared with you in connection with the Program β€” including your specific Commission Rate, unreleased features, and internal reporting data β€” and not to disclose it to third parties, except to the extent needed to promote Pitch N Hire in the ordinary course (for example, stating your general affiliate relationship) or as required by law.

12. Term, Suspension, and Termination

12.1 This Agreement begins on the date of your Approval Notice and continues until terminated by either party.

12.2 You may leave at any time, with no minimum commitment, by notifying us in writing or ceasing use of your Affiliate Link.

12.3 We may suspend or terminate your Affiliate status at any time, with or without cause, including for a violation of Section 7, suspected fraud, inactivity, or a change in business needs. Where practical, we will give notice of the reason; for suspected fraud or abuse, we may suspend immediately, without prior notice, pending investigation.

13. Disclaimers and Limitation of Liability

13.1 The Program, the tracking platform, and all related reporting are provided "as is," without warranty of uninterrupted or error-free operation.

13.2 To the maximum extent permitted by law, Pitch N Hire's total liability to you arising out of or relating to this Agreement or the Program β€” whether in contract, tort, or otherwise β€” is limited to the total Commission actually paid to you in the 6 months preceding the claim. Pitch N Hire is not liable for indirect, incidental, special, or consequential damages, including loss of anticipated earnings.

14. Indemnification

You agree to indemnify and hold Pitch N Hire, its officers, employees, and affiliates harmless from claims, damages, and reasonable legal costs arising from: your promotional content, your breach of this Agreement, your violation of applicable law (including advertising-disclosure or anti-spam law), or your unauthorized use of our trademarks or Creative Assets.

15. Common Scenarios (Illustrative, Non-Exhaustive)

To reduce back-and-forth over recurring questions, here is how typical situations are handled under this Agreement. These examples do not override the operative sections above; they illustrate them.

16. Changes to This Agreement

We may update these Affiliate Terms from time to time. Material changes (for example, to Commission structure or payment terms) will be communicated by email to active Affiliates, with reasonable notice before they take effect. Continued participation in the Program after the effective date of a change constitutes acceptance. If you do not agree to a material change, your remedy is to terminate your participation under Section 12.2 before it takes effect.

17. General Provisions

17.1 Governing Law. This Agreement is governed by the laws of the Republic of India.

17.2 Jurisdiction. Subject to Section 17.3, disputes are subject to the exclusive jurisdiction of the courts of New Delhi, India.

17.3 Good-Faith Resolution. Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days after written notice of the dispute.

17.4 Assignment. You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of substantially all our assets.

17.5 Severability. If any provision is held unenforceable, the remaining provisions continue in full force, and the parties will negotiate in good faith to replace it with an enforceable provision reflecting the original intent.

17.6 No Waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.

17.7 Entire Agreement. This Agreement, together with the Approval Notice, the general Terms and Conditions, and the Privacy Policy, constitutes the entire agreement between you and Pitch N Hire regarding the Program, superseding prior discussions on the subject.

17.8 Notices. Notices to Pitch N Hire should be sent to info@pitchnhire.com or through the Contact Us page. Notices to you will be sent to the email address on file with your Affiliate account.
